3G license bid for a unique consortium


Our Client’s Challenge

Our initial client was a European branded services provider seeking to exploit opportunities in European 3G. However, they did not have a clear strategy or the resources required to do so, nor did they have a robust understanding of the potential value of a 3G license.

To successfully participate in 3G license opportunities, our client required an innovative approach to funding and business alliances.

Mercator Partners’ Action


Mercator Partners developed an innovative NetCo/ServCo consortium approach to pursue a 3G spectrum license. In this effort we:
  • raised over $3 billion in committed capital
  • designed the contractual relationships (including financial flows) and necessary shareholder agreements
  • recruited both strategic and pure financial investors, including private equity investors, network operators and application providers
  • worked alongside the consortium's investment bankers and attorneys to execute shareholder and partnership agreements

We advised the consortium on the value of the opportunity throughout the pursuit, including during the license auctions themselves.

The Results


Based on the dramatic 3G license prices achieved in major European markets, we advised our clients not to proceed with purchase of licenses and to seek alternative 3G access as the market evolves.
